Terms of Service

1. Definitions

• "Service" refers to the Loki application, website, software, and all related services provided by Loki Inc.
• "User Content" means any and all information and content that a User submits to, or uses with, the Service (e.g., text, images, data, notes, tasks, financial information).
• "AI Features" refers to any component of the Service that utilizes artificial intelligence, machine learning, or similar technologies to provide analysis, generate content, or perform other functions.

2. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you meet this age requirement. You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account.

3. User Content and License

You retain all your rights to your User Content. By submitting User Content, you grant Loki a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and display your User Content solely in connection with the Service and our business, including for promoting and redistributing part or all of the Service.

You warrant that you have all necessary rights to grant us this license and that your User Content does not infringe on any third-party rights.

4. Acceptable Use Policy

You agree not to use the Service to collect, upload, transmit, display, or distribute any User Content that (i) violates any third-party right, including any copyright, trademark, patent, trade secret, or other intellectual property or proprietary right; (ii) is unlawful, harassing, abusive, or otherwise objectionable; or (iii) violates any law, regulation, or obligations. You also agree not to reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.

5. Intellectual Property Rights

Excluding your User Content, you acknowledge that all intellectual property rights, including copyrights, patents, and trademarks, in the Service and its content are owned by Loki Inc. or our licensors. The provision of the Service does not transfer to you or any third party any rights, title, or interest in or to such intellectual property rights.

6. AI Features and Disclaimer

Our AI Features are designed to enhance your productivity. However, you acknowledge that AI-generated output may not be accurate, complete, or reliable. You are solely responsible for your use of any AI-generated content. We do not use your User Content to train third-party AI models. For more information, please see our Privacy Policy.

7. Indemnification

You agree to indemnify and hold Loki, its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of the rights of any third party.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOKI BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY US DOLLARS ($50) OR (B) AMOUNTS YOU'VE PAID LOKI IN THE PRIOR 12 MONTHS (IF ANY).

9. Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware. Any dispute arising from these Terms shall be resolved by final and binding arbitration in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association.

10. General Provisions

These Terms constitute the entire agreement between you and us regarding the use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired.
